By accessing or using ProTrack ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

ProTrack is a field sales management platform that provides real-time GPS tracking, visit management, attendance tracking, expense management, and analytics for businesses. The Service is provided by Varuni Systems.

3. User Accounts

3.1 Account Registration

To use ProTrack, your organization must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

3.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service
• Use the Service to harass or harm others
• Resell or redistribute the Service without permission

5. Location Tracking

By using ProTrack, field personnel consent to real-time GPS tracking during working hours. Organizations using ProTrack must:

• Obtain proper consent from employees for location tracking
• Comply with applicable privacy and employment laws
• Use location data only for legitimate business purposes
• Inform employees about how location data is used

6. Subscription and Payment

6.1 Fees

Access to ProTrack requires a paid subscription. Fees are based on your selected plan and number of users. All fees are exclusive of applicable taxes.

6.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Payment is due according to your billing cycle. Failure to pay may result in suspension of service.

6.3 Refunds

Refund eligibility is subject to our Refund Policy.

7. Data Ownership and License

7.1 Your Data

You retain ownership of all data you submit to ProTrack. You grant us a license to use, store, and process your data solely to provide and improve the Service.

7.2 Our Intellectual Property

ProTrack and all related software, technology, and content are owned by Varuni Systems and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without written permission.

8. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for any service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, Varuni Systems shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Service interruptions or data loss
• Actions of third parties

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold Varuni Systems harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of third parties.

11. Termination

11.1 By You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

11.2 By Us

We may suspend or terminate your account if you violate these Terms, fail to pay, or for any other reason at our discretion. We will provide notice when reasonable.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of Bangalore, Karnataka.
